Subscription Terms

PLEASE READ THE FOLLOWING SUBSCRIPTION TERMS OF USE CAREFULLY
These Subscription Terms of Use (“Subscription TOU”) are a legal contract between you (“you” or “user”) and FemInnovation, L.L.C. (“we,” “us,” or “FemInnovation”) and govern your use, access to, and payment for certain FemInnovation products and services, including the FemInnovator Community (also referred to as the FemInnovator Platform) (the “Community”) (collectively, the “Services“). The Subscription TOU are in addition to any other terms and conditions and privacy notices applicable to the Services (including the Terms of Use and Privacy Policy). By accessing, enrolling in, paying for, or otherwise using the Services, you agree to be bound by these Subscription TOU, if applicable. A subscription to the Services cannot be purchased by anyone lacking the legal capacity to enter into these terms and conditions. You should read the following Subscription TOU carefully.
— OVERVIEW OF SUBSCRIPTION —
The Subscription. Some of the Services operate on a subscription model in which access to the Services is limited to those individuals or entities that have purchased a subscription for the current applicable period (the “Subscription”).
Use of Subscription. To access or use certain Services, you must have a current Subscription. Your Subscription to the Services is non-assignable, non-transferable, and cannot be resold. FemInnovation reserves the right to limit access to the Services and to deny access to any individual or entity for any reason.
Subscription Term. The duration of the Subscription (“Subscription Term”) varies in accordance with the Service and automatically renews for successive Subscription Terms unless otherwise terminated or cancelled in accordance with the terms and conditions in these Subscription TOU. Unless otherwise indicated, your Subscription is effective immediately upon your Subscription payment. Your Subscription Term will start the day you submit your initial Subscription payment and will continue for the period defined in your Subscription.
Subscription Benefits. Your Subscription entitles you to access the applicable Service you have purchased, subject to the Subscription fees and these Subscription TOU. Depending on the Service purchased, there may be additional Services that are not covered under your Subscription. You will have the option to purchase these additional Services through other Subscriptions if you so elect.
— SUBSCRIPTION FEE AND PAYMENT —
Subscription Fee. The fee to access the Services varies depending on the particular Service selected and is set forth in the applicable paywall surrounding the Subscription (“Subscription Fee“).
Payment. FemInnovation uses Stripe to process Subscription payments. You may purchase a Subscription using Stripe, FemInnovation’s Jot Form (which is linked to Stripe), or using FemInnovation’s Circle community (which is also linked to Stripe). If you have difficulty making payments through any of these methods, please contact us at info@feminnovation.com and we will work with you to accept payment through an alternate means. Payment is accepted using most major credit cards. You must provide FemInnovation with a valid credit card as a condition to signing up for the Subscription. If you prefer an alternate payment method, please contact us at info@feminnovation.com.
Once you have activated your Subscription, FemInnovation will immediately charge you for your Subscription in accordance with your chosen payment frequency (e.g., annually or monthly). You authorize FemInnovation to charge your payment source the applicable Subscription Fee in accordance with your chosen Subscription. No additional notice or consent is required for FemInnovation to charge your payment method for the Subscription Fee.
Change in Payment Information. You agree to immediately notify FemInnovation of any change in your billing address or the credit card use for payment of the Subscription Fee. You may notify FemInnovation of any changes in writing via email at Info@FemInnovation.com.
Price Changes. FemInnovation reserves the right at any time to change its prices and billing methods, either immediately upon posting to the FemInnovation website (www.feminnovation.com) and/or the FemInnovator Community, or by e-mail delivery to you. Any price changes will not take effect until the user’s Subscription renews (i.e., the user’s current Subscription Fee will not be impacted until the end of the Subscription Term).
Unpaid Amounts. If any Subscription Fee is not paid in a timely manner, or your transaction cannot be processed, FemInnovation reserves the right to suspend, disable, cancel, or terminate your access to the Service(s) or cancel your Subscription. In addition, FemInnovation reserves the right to collect from you all costs we incur in connection with the collection of unpaid amounts, including court costs, attorneys’ fees, collection agency fees, and any other associated costs.
Auto Renewal. Your Subscription will automatically renew for successive Subscription Terms unless you affirmatively elect to cancel your Subscription in accordance with these Subscription TOU. Specifically, your Subscription will automatically renew on the day following the end of your current Subscription Term (each a “Renewal Commencement Date”) and continue for an additional Subscription Term. You agree that your Subscription will be subject to this auto renewal feature unless you cancel your Subscription at least five (5) business days prior to the Renewal Commencement Date. If you wish to opt out of the auto renewal feature, please contact FemInnovation in writing with your request at Info@FemInnovation.com.
Upon renewal of your Subscription, if FemInnovation does not receive payment from your payment provider, (i) you agree to pay all amounts due on your account upon demand, and/or (ii) you agree that FemInnovation may either terminate or suspend your Subscription and continue to attempt to charge your payment provider until payment is received (upon receipt of payment, your account will be re-activated and for purposes of automatic renewal, your new Subscription commitment period will begin as of the day payment was received).
Cancellation. If you wish to CANCEL your Subscription, you may do so at any time. The cancellation will go into effect at the end of your current Subscription Term. You are still responsible for paying any outstanding Subscription Fee balances related to your current Subscription Term, as your cancellation does not impact your existing Subscription.
If you cancel your Subscription, you may use your Subscription until the end of your then-current Subscription Term. Your Subscription will not be renewed after your then-current Subscription Term expires. However, you will not be eligible for a prorated refund of any portion of the Subscription Fee paid for the then-current Subscription Term.
If you would like to cancel your Subscription, please email us at info@feminnovation.com with your full name, email address, and cancellation request. Following proper cancellation of your Subscription, no further charges will be made to your payment method after your current Subscription Term ends, and there will be no further obligations by either party. Following the expiration of your current Subscription Term, you will no longer be able to access the Service(s) associated with that Subscription.
Re-Enrollment. You can re-enroll in a Subscription at any time by paying the new Subscription Fee.
No Refunds. FemInnovation does not offer refunds for Subscriptions. Once a Subscription is purchased, the user is responsible for paying the full Subscription Fee and adhering to these Subscription TOU for the duration of the Subscription Term. Users are not eligible for a prorated refund of any portion of the Subscription Fee if the Subscription is cancelled prior to the expiration of the current Subscription Term.
Termination. Except to the extent that applicable law explicitly requires a longer notice period, FemInnovation reserves the right to terminate your Subscription at any time without notification, including in the event that we are unable to bill the Subscription to your payment source.
